Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Delta Grown platform (the "Service"). By signing up or using the Service you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and authorised to enter into contracts on behalf of the business you represent.

2. Accounts

You are responsible for safeguarding your password, for all activity on your account, and for keeping your contact information accurate. We may suspend accounts that violate these Terms or that we suspect are compromised.

3. Listings, offers, and orders

• Farmers warrant that listed products are accurately described, legally produced, and available for sale at the listed price and quantity.
• Retailers warrant that submitted requests reflect bona fide demand and that they will pay accepted offers per the agreed terms.
• An offer becomes a binding agreement once both parties accept it inside the platform.

4. Payment

Invoices are generated automatically when an offer is accepted and are payable per the terms shown on the invoice. The Service does not yet process payments inside the platform; settlement happens off-platform between counterparties.

5. Acceptable use

You agree not to (a) abuse the support system or other users, (b) attempt to access another user's data, (c) probe, scan, or test the vulnerability of the Service, (d) use the Service to transmit illegal or harmful content, or (e) circumvent rate limits.

6. Disclaimers

The Service is provided "as is". We do not guarantee that listings are accurate, that counterparties will perform, or that the Service will be uninterrupted. To the maximum extent permitted by law, we disclaim all warranties.

7. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the amounts you paid us, if any, in the twelve months preceding the claim.

8. Termination

Either party may terminate at any time. We may suspend or terminate immediately for breach of these Terms. Sections that by their nature should survive termination (payment, disclaimers, liability, governing law) survive.

9. Governing law

These Terms are governed by the laws of the jurisdiction in which Delta Grown is incorporated, without regard to conflict-of-law principles.
